The lindohome.pl shop is a wholesaler intended exclusively for businesses. We do not sell to consumers. Before creating an account and placing an order, please read these Terms and the Terms of B2B Cooperation.
§ 1 The Seller and the nature of the Shop
- The lindohome.pl online shop (the “Shop”) is operated by ASTEK spółka z ograniczoną odpowiedzialnością (a limited liability company) with its registered office in Długie (Wólka municipality), at Długie 11C, 20-258 Długie, Poland, entered in the Register of Entrepreneurs of the National Court Register kept by the District Court Lublin-Wschód in Lublin, seated in Świdnik, VI Commercial Division of the National Court Register, under KRS number 0000779423, VAT number (NIP) 538-185-98-96, REGON 382949024, share capital PLN 1,000,000 (the “Seller”).
- The Seller is an importer and distributor of artificial flowers, plants, decorations and home accessories. The Shop is a wholesaler: the Seller sells in it exclusively to businesses, for the purposes of their business or professional activity, in particular for the resale of the Goods or their use in that activity (bricks-and-mortar and online shops, decorating and event companies, hotels, catering).
- The Seller does not sell to consumers. The Shop is not intended for consumers and the Seller does not conclude agreements with consumers through it.
- Sales are wholesale: the Goods are sold in master packs, a minimum order value applies, and the volume discounts are set out in the Terms of B2B Cooperation, which form an integral part of these Terms.
- Sales agreements concluded in the Shop are of a professional nature for the Buyer: their subject is the purchase of Goods in wholesale quantities, at wholesale prices, for the purposes of the Buyer's business activity.
§ 2 Definitions

§ 4 Technical requirements
- To use the Shop you need a device with internet access and a web browser that supports JavaScript and cookies.
- To create an Account and place an order you need an active e-mail account.
§ 5 The Account and verification of the Buyer
- Placing an order requires an Account. In the registration form the Buyer provides: the company name, VAT number (NIP), registered address, contact person details, and information on the business and the intended use of the Goods purchased.
- By creating an Account the Buyer confirms that it is a business and will place orders solely for the purposes of its business or professional activity.
- The Seller verifies the application against CEIDG, KRS or another relevant register and the information provided. The Seller may refuse to create an Account or suspend an Account, in particular where the applicant is not a business, the data provided is untrue, or the nature of its activity does not match the wholesale nature of the Shop.
- Wholesale prices are visible on the Shop's site, and the ability to place orders is available only after logging in to a verified Account.
- The Buyer keeps the Account details up to date and does not disclose its login details to unauthorised persons. Orders placed from the Account are deemed to have been placed by the Buyer.
§ 6 Orders and conclusion of the agreement
- The Buyer adds Goods to the basket in multiples of the master packs, chooses a delivery method and provides the details required for fulfilment.
- By placing an order the Buyer confirms its content and accepts these Terms together with the Terms of B2B Cooperation.
- By placing an order the Buyer confirms that: a) it acts as a business, within and for the purposes of its business or professional activity; b) it buys the Goods in wholesale quantities for resale or for use in its business; c) it does not act as a consumer.
- An individual conducting business activity may additionally, no later than when placing the order, make the statement referred to in Article 7aa(2) of the Polish Act of 30 May 2014 on Consumer Rights, that the agreement is of a professional nature for them. Making this statement is voluntary and is not a condition for concluding the agreement. The Seller keeps the statement together with the order.
- An order placed in the Shop is an offer to buy. The Shop's automatic message about an order being placed merely confirms receipt. The sales agreement is concluded when the Seller confirms acceptance of the order for fulfilment, sent to the Buyer by e-mail together with a pro forma invoice. The confirmation includes information on how the goods will be packed (number of parcels or pallets) and the transport cost.
- The Seller may refuse to accept an order, in particular where: the Buyer does not meet the conditions of § 1 and § 5; the order does not reach the minimum value set in the Terms of B2B Cooperation; the Goods are unavailable; the Buyer is in arrears with payments to the Seller.
- Each order is a separate sales agreement.
§ 7 Prices and payments
- Prices of the Goods are given in Polish zlotys, as net and gross (VAT-inclusive) amounts. Volume discounts are applied automatically according to the thresholds in the Terms of B2B Cooperation.
- The total order value consists of the price of the Goods and the delivery cost stated in the order acceptance confirmation.
- Payment is made exclusively by bank transfer, in advance, on the basis of a pro forma invoice issued by the Seller after accepting the order for fulfilment.
- The fulfilment time is counted from the day the Seller's account is credited with the full amount of the pro forma invoice. If the payment is not received within 3 Working Days of the pro forma invoice being sent, the order is cancelled.
- The Seller documents the sale with a VAT invoice issued to the Buyer's details. The Buyer consents to receiving invoices in electronic form at the e-mail address assigned to the Account.
- For Buyers from other European Union countries, VAT on an intra-Community supply is settled in accordance with the regulations, after the Buyer's EU VAT number has been successfully verified in the VIES system.
§ 8 Order fulfilment and delivery
- The fulfilment time is 1 to 5 Working Days from the payment being credited, unless the order confirmation states otherwise.
- The Goods are sent in master cartons or on pallets, by a carrier selected by the Seller. The delivery cost and the free delivery threshold are set out in the Terms of B2B Cooperation.
- Information on the availability of Goods is updated continuously but is indicative. If the Goods are unavailable (in particular with parallel orders), the Seller informs the Buyer no later than within 1 Working Day, and the Buyer may: cancel the whole order with a refund of the payment; cancel the unavailable item and have the rest fulfilled; extend the fulfilment time until the stock is replenished; replace the item with Goods of similar parameters and price. If the Buyer does not choose within 3 Working Days, the Seller is entitled to cancel the order and refund the payment. The Seller is not liable for any further loss of the Buyer resulting from the unavailability of the Goods.
- The risk of accidental loss of or damage to the Goods passes to the Buyer when the Goods are handed to the carrier (Articles 544 § 1 and 548 § 1 of the Civil Code).
- The Buyer is obliged to check the consignment on receipt: the number of parcels or pallets and the condition of the packaging. In the event of damage or shortages, the Buyer draws up a damage report with the carrier at the time of receipt and sends it to the Seller, with photographs, within 2 Working Days. The Seller assists in pursuing claims against the carrier; without a report drawn up on receipt, claims for transport damage cannot be pursued.
§ 9 Characteristics of the Goods
- The Goods are decorative products made in series. Minor differences between pieces in the arrangement of stems and heads, shade, finish and way of packing result from the production process and are not defects.
- The dimensions given in the offer are approximate; a deviation of up to 5% of the stated dimension is not a defect. The height of bouquets and stems is measured unfolded, from the end of the stem to the highest point.
- Goods marked “mix” are supplied in a set of colours selected by the Seller from the colours indicated in the offer; the Buyer has no guarantee of a particular distribution of colours in a pack unless agreed in writing before the order is confirmed.
- The photographs in the Shop show the Goods offered. Colour reproduction depends on screen settings and may differ slightly from the actual colour.
- The master pack is for transport and storage; it is not a display pack.
§ 10 Complaints – warranty between businesses
- The Seller is liable to the Buyer for physical and legal defects of the Goods under the warranty rules set out in the Civil Code, as modified by this paragraph (Article 558 § 1 of the Civil Code).
- The Buyer inspects the Goods promptly after receipt, and no later than within 5 Working Days of delivery, as to quantity, type and visible defects, and reports any defects found within that period. Defects that could not be detected during such an inspection are reported by the Buyer promptly, and no later than within 5 Working Days of their discovery. Failure to report a defect within these periods results in loss of warranty rights (Article 563 of the Civil Code).
- The Buyer sends a complaint by e-mail to reklamacje@lindohome.pl, stating: the order number, the code and number of pieces of the Goods complained about, a description of the defect and photographs documenting it. The Seller may ask for additional photographs, for a sample of the Goods complained about or for an inspection. The time for processing is counted from receipt of the complete complaint.
- The Seller processes the complaint within 14 days of receiving the complete complaint and informs the Buyer of the decision by e-mail.
- If the complaint is accepted, the Seller, at its choice and taking into account the type of defect: replaces the defective Goods with defect-free ones, makes up shortages in quantity, reduces the price of the defective Goods, or accepts the return of the defective Goods and refunds their price. The Buyer is entitled to withdraw from the agreement in respect of the defective Goods only where the defect is material and the Seller has not replaced the Goods or remedied the defect within a reasonable time. If only some of the Goods in an order are defective, the Buyer's rights concern the defective Goods only (Article 565 of the Civil Code).
- The cost of collecting the defective Goods, if the complaint is accepted, is borne by the Seller, who arranges the transport. The Buyer packs Goods returned under an accepted complaint in a way that protects them from damage.
- The Seller is liable under the warranty if the defect is found and reported within one year of the Goods being handed to the Buyer (Article 558 § 1 of the Civil Code).
- The following are not defects and are not subject to complaint: the differences described in § 9; damage that occurred after the risk passed to the Buyer, including in transport, where no damage report was drawn up on receipt; damage resulting from improper storage, display (including exposure to sunlight and moisture), use or alteration of the Goods; normal wear and tear.
- The Seller's liability in damages to the Buyer, on any basis, is limited to the net value of the order to which the damage relates and does not include lost profits. The limitation does not apply to damage caused intentionally.
- If a guarantee has been given for the Goods, its terms are stated in the description of the Goods. The guarantee does not limit the warranty rights set out in these Terms.
§ 11 No right of withdrawal; returns by consent
- The Buyer has no right to withdraw from a distance agreement without giving a reason. The provisions of the Act of 30 May 2014 on Consumer Rights concerning consumers, including the 14-day right of withdrawal (Article 27 of that Act), do not apply to agreements concluded in the Shop, because the Seller concludes them exclusively with businesses and these agreements are of a professional nature for them (§ 1(2)–(5), § 6(3)).
- If mandatory provisions of law grant a particular Buyer consumer rights, it has them to the extent resulting from those provisions, and the provisions of these Terms apply to the remaining extent.
- The Seller is not obliged to accept returns of defect-free Goods. Such a return is possible only with the Seller's prior consent given by e-mail, on terms agreed in each case. Unless agreed otherwise: the Goods must be complete, unused, in the original undamaged master packs; transport is at the Buyer's cost and risk; the Seller may deduct a handling fee of up to 15% of the value of the returned Goods; the price is refunded after the Goods have been checked, by a credit note, to the account from which the payment was made. If as a result of the return the order value falls below a discount threshold, the discount on the remaining Goods is recalculated in accordance with the Terms of B2B Cooperation.
- Goods sent back without the Seller's consent are not accepted and are returned to the sender at their cost, or are stored at the Buyer's cost and risk until collected.
§ 12 Personal data
- The controller of personal data provided by the Buyer and the contact persons it names when using the Shop is the Seller. Detailed information on the processing of personal data, including other purposes and legal bases of processing and recipients of the data, is in the Privacy Policy available in the Shop, in accordance with the General Data Protection Regulation of the European Parliament and of the Council (“GDPR”).
- The purpose of processing the data provided in connection with purchases in the Shop is order fulfilment and Account administration. The legal bases for processing are: the sales agreement or steps taken at the Buyer's request with a view to concluding it (Article 6(1)(b) GDPR); a legal obligation of the Seller relating to accounting (Article 6(1)(c) GDPR); the Seller's legitimate interest in establishing, pursuing or defending claims (Article 6(1)(f) GDPR).
- Providing the data is voluntary but necessary to conclude the sales agreement. Failure to provide the data makes it impossible to conclude the agreement.
- The data will be processed until: the sales agreement ceases to apply; the Seller is no longer subject to a legal obligation requiring the processing; the possibility of pursuing claims related to the agreement ceases; an objection to processing based on the Seller's legitimate interest is upheld – whichever applies and occurs latest.
- The data subject has the right to request access to the data, rectification, erasure, restriction of processing and data portability, and the right to object to processing based on Article 6(1)(f) GDPR. To exercise these rights, contact the Seller using the details in § 3.
- If the data subject considers that the data is processed unlawfully, they may lodge a complaint with the President of the Polish Personal Data Protection Office (UODO).
§ 13 Final provisions
- Polish law applies to agreements concluded in the Shop. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to agreements with Buyers whose registered office is outside Poland.
- The court competent for disputes arising from agreements concluded in the Shop is the court competent for the Seller's registered office.
- Agreements are concluded in Polish. In the event of any discrepancy between the language versions of the Shop, the Polish version prevails.
- The Buyer is prohibited from providing unlawful content.
- The Seller may amend these Terms for important reasons (a change in the law, in the rules of cooperation or in the Shop's functionality). Orders placed before an amendment takes effect are governed by the Terms in the wording of the day the order was placed. The Seller announces the amendment on the Shop's site and by e-mail to the address assigned to the Account, at least 7 days before it takes effect.
- If any provision of these Terms proves invalid or ineffective, the remaining provisions stay in force, and in place of the invalid provision the legal rules closest to its purpose apply.
